Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Any work product delivered under a service agreement will be subject to the intellectual property terms specified in that agreement.

When using our services or website, you agree to:

Specific services provided by Shoum Tech Solutions will be governed by separate service agreements that detail:

• Warranties and representations
• Liability limitations
• Termination conditions

These service agreements supplement and are subject to these Terms and Conditions.

Unless otherwise specified in a service agreement:

• Payment terms are Net 30 from invoice date
• All fees are exclusive of applicable taxes
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise agreed in writing

To the maximum extent permitted by applicable law:

• Our total liability shall not exceed the amounts paid to us in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of data, profits, revenue, or business opportunities
• We do not warrant that our services will be uninterrupted or error-free

These limitations apply regardless of the theory of liability.

You agree to indemnify, defend, and hold harmless Shoum Tech Solutions and its officers, directors, employees, agents, and successors from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or share through our services

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms and Conditions
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion for business reasons

Upon termination, your right to use our services will cease immediately.

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Tamil Nadu, India.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after revisions become effective, you agree to be bound by the revised terms.
